Terms and Conditions of Access, Use purchase and Membership
The Terms and Conditions of membership set out below are important and affect your rights as a member of RouletteResearch.com. We draw your attention in particular to Clauses 6 to 10 respecting changes which may be made to RouletteResearch.com, including those relating to the downloading of content and termination of membership.

1. MEMBERSHIP AGREEMENT
These Terms and Conditions set out the contractual relationship between RouletteResearch.com and each individual applicant for membership.

2. DEFINITIONS
In these Terms and Conditions unless the context requires otherwise: -
"Company" means www.RouletteResearch.com ;
"Data" means data personal to an applicant or a member;
"Fraud" means unauthorized entry, altering documents or
using or attempting to use another member's username and password or
selling, bartering and including attempting to sell website content by means of internet based sales or auctions;
"Loss" means losses, costs, damages, injuries, accidents or claims (whether
direct or indirect) suffered by Members in connection with the provision of Services or download or use of Content;
"Marketing Partners" means marketing associates, service partners and
affiliates;
"Member" means the person who is a member of the company and
whose name is held in the Company's database;
"Membership" means membership of the Company;
"Misconduct" includes:-
- failure to comply with these Terms and Conditions ; or
- attempting to enter the website Fraud; or
- misusing the Services; or
"Processing" and "Processed" includes obtaining, using, recording and holding in electronic or any other form;
"Services" means the benefits, services, downloads and facilities from time to time available to Members provided by the Company;
"Year" means the period of twelve months from the date of joining and each twelve month period thereafter.

3. MEMBERSHIP
3.1 Individuals who are 18 years of age or over may apply for membership;
3.2 To apply for Membership an individual must complete an application form and email it to the Company. Membership applications must state the applicant's full name, password and preferred emailing address for correspondence. Members cannot state more than one preferred emailing address.
3.3 Membership is offered at the discretion of the Company and the Company may refuse Membership to any applicant.
3.4 Applicants accepted as Members will be given a Membership hyperlink and must use the hyperlink to register. A typical system response will be as follows:

Multiple Membership is not permitted and each Member must maintain only one account. In the case of duplication of Membership, all Memberships (other than the first Membership approved by the Company) will be cancelled as will any duplicate username and password.
3.5 Each Member must give the Company immediate written notice of any changes of name or preferred email address and, if requested by the Company, written proof of any such changes.
3.6 Membership will terminate automatically:
3.6.1 in the event the Member has not visited the site for three (3) consecutive months;
3.7 The Company is not a members' or proprietors' club.

4 PROTECTION OF DATA
4.1 The Data which is Processed by the Company in connection with Members may include:
4.1.1 Data supplied by the Member e.g. name and email address;
4.1.2 Data collected when the Member is provided with Services; and
4.2 The sources of the Data Processed by the Company in connection with Members may include Marketing Partners, data processors, agents and contractors of the Company. The Company may link together Data obtained from a number of sources or combine Data with data held on Marketing Partners and affiliates databases in order to differentiate between categories of Members for any of the purposes listed in Clause 4.3.
4.3 Members consent to:
4.3.1 their Data being supplied to service partners, Marketing Partners and legal authorities;
4.3.2 their Data being transferred to other countries whether or not such countries have data protection laws; and
4.3.3 the processing of any sensitive data included in their Data.
4.4 The purposes for which Data may be Processed by the Company or by a recipient of Data under 4.3.1 include:
4.4.1 providing services to Members;
4.4.2 making changes to services and developing new services;
4.4.3 accounting and audit, downloading, safety and security, fraud prevention and investigation, and systems testing, development and maintenance;
4.4.4 customer profiling and other marketing and market research analysis;
4.4.5 (by or on behalf of the Company or Marketing Partners) communicating to Members about other products, services or facilities offered by the Company , Marketing Partners or other carefully selected companies, using any contact details provided;
4.4.6 conducting market research; and
4.4.7 any other purpose which is obvious or is communicated to the Member.
4.5 Consent to receive marketing and market research communications under 4.4.5 and 4.4.6 is requested at the time of enrolment and may be given by the Member subsequently. Where consent is given it may be withdrawn by the Member writing to the Company for withdrawing consent made available by the company from time to time.
4.6 Before any Data relating to a Member is disclosed to a Member by the Company the Member may be asked security questions which may require him/her to confirm his/her identity by providing information held by the company about that Member.
4.7 Members are responsible for the security of their online username and password and the Company shall have no liability in the event that a Member's username and/or password is disclosed by the Member, whether intentionally or not, so as to allow a third person online access to the Data and to make any transactions. The company reserves the right to block online access to Data by or through any third party website not authorised by the company.

5 GENERAL
The Company reserves the right to audit a Member's account and records without notice to the Member to check for compliance with these terms and conditions.

6 MEMBER'S RIGHT TO TERMINATE MEMBERSHIP
Members may terminate their Membership by writing to the Company stating that they no longer wish to be a Member. Any such termination will result in a loss of Membership and does not relieve the Member of any continuing obligations under these terms and conditions.

7 COMPANY'S RIGHT TO TERMINATE MEMBERSHIP
In addition to any other rights or remedies it may have the Company reserves the right at any time in its absolute discretion to terminate the Membership of any Member and/or the right of any Member to use the website if a Member commits Fraud, Misconduct, is given a banning notice or withdraws their consent under Clause 4. The Company must write to such Member stating their Membership is being terminated for this reason.

8 TERMINATION OF CONTENT
The Company may terminate the facilities at any time but will use its reasonable endeavours to give at sufficient notice to Members. At the end of the period of notice, each Member acknowledges that their right to use the Content will cease.

9 MODIFICATION OR WITHDRAWAL OF CONTENT
9.1 The Company may modify, withdraw, amend or add to any Services or other offers or arrangements or impose any requirements or restrictions relating to the use of Services.
9.2 Members shall be deemed to have agreed to any modifications, withdrawal, amendment or addition to the Services pursuant to Clause 9. Members who do not wish to accept changes in the Services may terminate their Membership in the manner described in Clause 6.

10 VARIATION OF THESE TERMS AND CONDITIONS
The Company reserves the right at all times to make any changes to these Terms and Conditions subject to giving Members reasonable notice as appropriate in the circumstances. Members who do not accept the amendments may terminate their Membership as described in Clause 6.

11 EXCLUSION OF LIABILITY
The Company will not be liable for any Loss resulting from alteration to, or termination of the programme.

12. NO WARRANTY
The service and the sale of software is provided on an "AS IS" basis. The Company grants no warranties, express or implied, including but not limited to the merchantability and fitness of the Content and software for a particular purpose. The Company is not responsible to the Member or purchaser of the software for any delay in transmission of content or website downtime. The Member is responsible for having and maintaining the personal computer equipment and Internet access necessary to make use of the Service.

13 GOVERNING LAW
13.1 To the extent permissible by local law or regulation these terms and conditions shall be governed by and construed in accordance with English law. The Company and each Member submits to the non-exclusive jurisdiction of the English courts to resolve any disputes that may arise out of them.
13.2 Any provision of these Terms and Conditions declared void or unenforceable by any competent authority or court shall, to the extent of such invalidity or unenforceability, be deemed severable and shall not affect the other provisions remaining which shall continue unaffected.
13.3 If there is any conflict in meaning between the English language version of these terms and conditions and any version or translation of these terms and conditions in any other language, the English language version shall prevail.
